Terms of Use

This End User License Agreement (“EULA”) is a legal agreement between the licensee, whether an individual or a legal entity (the “LICENSEE”), and REW SERVICIOS DE INTERNET S.A., a privately held company, registered under CNPJ no. 08.824.442/0001-64, with its registered office at Avenida Engenheiro Armando de Arruda Pereira, 2937 – Sala 120, Jabaquara – São Paulo – SP – Brazil (the “LICENSOR”), for the use of the computer program known as Gendo, made available by the LICENSOR (the “SOFTWARE”) through the website “gendo.app” (the “Site”).

The SOFTWARE includes the computer program itself and may include associated physical media, printed materials, and any online or electronic documentation. By using the SOFTWARE, whether partially or on a trial basis, the LICENSEE agrees to be bound by the terms of this EULA, particularly with respect to consent for access, collection, use, storage, processing, and protection of the LICENSEE’s information by the LICENSOR, as necessary for the proper operation of the SOFTWARE. If the LICENSEE does not agree with these terms, use of the SOFTWARE must be immediately discontinued.

1. Intellectual Property
The LICENSEE does not acquire, through this EULA or through use of the SOFTWARE, any intellectual property rights or other exclusive rights, including patents, designs, trademarks, copyrights, trade secrets, or confidential information, nor any rights over the content made available on the Site, including but not limited to texts, graphics, images, logos, icons, photographs, editorial content, notifications, software, or any other materials related to the SOFTWARE or any part thereof.

All rights not expressly granted under this EULA are reserved by the LICENSOR. All content made available on the Site is the exclusive property of the LICENSOR or is properly licensed to it.

2. Licensee Declarations
The LICENSEE declares full knowledge of the rights and obligations arising from this EULA, which constitutes the entire agreement between the parties. The LICENSEE further declares that they have read, understood, and accepted all terms and conditions herein.

The LICENSEE acknowledges having been informed of the confidentiality and data protection practices adopted by the LICENSOR and expressly consents to the collection, use, storage, and processing of personal data and access records.

The LICENSEE acknowledges that actions related to acceptance, modification, or termination of this EULA may be recorded in the LICENSOR’s databases, including date and time, and that such records may be used as evidence.

The LICENSEE further acknowledges that certain functionalities of the SOFTWARE may require the provision of account-related information, authorizing the SOFTWARE to collect information in an automated manner, acting on behalf of the LICENSEE where applicable.

3. Registration
To access the SOFTWARE, the LICENSEE must complete a registration process by providing accurate and complete information. Such information is protected in accordance with applicable law and the Privacy Policy.

The LICENSEE is solely responsible for the accuracy, completeness, and updating of registration information. Login credentials are personal and non-transferable, and the LICENSEE is responsible for maintaining their confidentiality.

Outdated registration information may prevent communication with the LICENSEE, and the LICENSOR is not responsible for any consequences resulting from such failure.

Individuals under the age of 18 or otherwise legally incapable may not use the SOFTWARE. Legal guardians are responsible for the actions of their dependents.

Legal entities may use the SOFTWARE through a duly authorized representative. The LICENSOR may request proof of such authorization at any time.The LICENSOR may suspend or terminate access to the SOFTWARE at any time, without prior notice, in cases of misuse or prolonged inactivity.

4. Term
This EULA becomes effective upon acceptance by the LICENSEE and remains in force until terminated in accordance with its terms.

5. Licensee Obligations
The LICENSEE agrees to:
Maintain adequately trained personnel to operate the SOFTWARE.
Provide necessary infrastructure and communication resources at their own expense.
Be fully responsible for all data entered into the SOFTWARE, including permissions, credentials, and user access.Ensure that providing data to the LICENSOR does not violate any legal or contractual obligations.
Refrain from using the SOFTWARE for any unlawful purposes or activities that may harm the LICENSOR or third parties.
Avoid uploading or transmitting malicious software or content.
Promptly notify the LICENSOR of any unauthorized access or security breaches.

6. Licensor Obligations
The LICENSOR agrees to:
Provide access to the SOFTWARE during the term of this EULA.
Use reasonable efforts to ensure proper operation of the SOFTWARE and correct technical errors when identified.
Modify or improve the SOFTWARE as necessary.
Provide customer support through available digital channels.
Protect the confidentiality and security of personal and financial data using appropriate safeguards.

7.Termination
Either party may terminate this EULA at any time upon written notice.

Upon termination, the LICENSEE’s access to the SOFTWARE will be revoked, and stored data may be deleted after a reasonable retention period, unless retention is required by law.

8. Nature of the Agreement
The LICENSEE acknowledges that this agreement concerns the licensing of software for business management purposes and does not constitute a consumer relationship under applicable consumer protection laws.

9. General Provisions
The LICENSEE may not sublicense, assign, or transfer the SOFTWARE without prior written consent from the LICENSOR.

Any tolerance of breach shall not constitute a waiver of rights.If any provision of this EULA is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The LICENSOR may update or modify this EULA at any time by providing notice through the Site.

10. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Any disputes arising from this EULA shall be resolved in the competent courts, as applicable.

11. Definitions

ACCOUNT INFORMATION
Information related to financial accounts, including credentials required for access.
FINANCIAL INFORMATION
Information related to transactions, payments, or financial activity.
PERSONAL INFORMATION
Any information that identifies or may identify an individual.
LICENSEE
Any individual or legal entity authorized to use the SOFTWARE.
SOFTWARE
The proprietary software owned by the LICENSOR and made available through the Site.
